Terms of Service

Clear, fair, and transparent terms that govern working with TekeVxn.

01. Agreement to Terms

These Terms of Service form a binding agreement between TekeVxn and the client when you engage our services, submit a project brief, approve a proposal, pay an invoice, or use our website.

These terms apply to website development, mobile app development, SEO, social media marketing and management, AI agents, automation, and related digital services.

02. Payment Terms & Milestones

TekeVxn projects use a three-milestone payment structure. No work begins until the initial deposit is received.

10%Project kickoff before work begins. Reserves team time and starts discovery.

40%Pre-deployment milestone before the project goes live or is handed to staging.

50%Completion payment due on final delivery or deployment before source handover.

No intellectual property transfer or final deliverable handover occurs until all milestone payments are received in full.

03. Project Process

A typical TekeVxn engagement moves through discovery, planning, design, development, review, deployment, and handover.

We collect project requirements, brand assets, business goals, and technical access.
We prepare a scope, milestones, and delivery expectations.
We design, build, test, and share previews for review.
We deploy or hand over completed work after approval and final payment.

04. Scope & Changes

The project scope is defined by the approved proposal, invoice, or written agreement. Work outside that scope may require a separate estimate.

New pages, features, integrations, campaigns, or automation flows may be billed separately.
Major content, design, or business-direction changes after approval can affect timeline and pricing.
Urgent or rush work may carry an additional fee depending on team capacity.

05. Timelines

Timelines depend on timely approvals, content delivery, payments, and third-party platform availability.

Client delays may shift delivery dates proportionally.
If a client is unresponsive for more than 14 consecutive calendar days, the project may be placed on hold.
TekeVxn is not liable for delays from hosting providers, domains, payment gateways, APIs, force majeure events, or other third-party failures.

06. Intellectual Property & Ownership

You retain ownership of materials you provide, including logos, copy, images, data, and brand assets. You confirm you have the right to use those materials.

Upon full and final payment, custom design and code created specifically for your project transfers to you.

TekeVxn retains rights to pre-existing frameworks, libraries, templates, workflows, and tools.
TekeVxn may display completed work in portfolios and case studies unless you request otherwise in writing.
Third-party fonts, plugins, stock assets, or software may have separate licences and fees.

07. Client Responsibilities

Successful projects require timely collaboration from the client.

Provide accurate project requirements and required materials.
Designate a single point of contact with authority to approve decisions.
Give feedback within agreed timelines.
Make milestone payments on time.
Ensure supplied materials do not infringe third-party rights.
Protect credentials and access details shared during the project.

08. Revisions, Support & Maintenance

Each project includes the revision rounds stated in the proposal. Revisions should be consolidated and sent clearly.

Projects include a 14-day bug-fix period for issues caused by TekeVxn work.
Bugs caused by client changes, hosting changes, third-party updates, or plugin changes are not included.
Ongoing maintenance, content updates, SEO management, or support can be handled through a retainer.

09. Cancellation, Pausing & Refunds

Payments are tied to project phases and team reservation.

The 10% kickoff payment is non-refundable once the project slot is reserved.
If cancelled during active work, completed work and work in progress may be billed.
Payments made after the 40% milestone are generally non-refundable once corresponding work has begun.
A project may be paused once for up to 30 calendar days, subject to scheduling availability.

10. Confidentiality & Non-Disclosure

Both parties agree to keep proprietary, private, or unreleased information confidential. A formal NDA can be signed on request.

11. Warranties & Liability

TekeVxn will perform work with reasonable skill and professional care, but we do not guarantee specific SEO rankings, follower counts, conversion rates, or revenue outcomes.

To the maximum extent permitted by law, TekeVxn is not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

Either party may terminate a project by giving written notice. Outstanding invoices become due immediately, and handover depends on completed payment status.

13. Dispute Resolution

Both parties should first attempt to resolve disputes in good faith through written communication. If unresolved, mediation or legal proceedings may follow under Indian law.
